Woodland Shores Covenants and Restrictions

The Covenants and Restrictions originally put into place at the time of original development are outdated and the community is in the process of updating them. It’s a time-consuming business, but a Covenants Committee (made up of community members) and the WSPOA Board are committed to putting in the volunteer effort and legal expense to updating them. Below you will find latest updates about the progress being made, as well as the original covenants that, while outdated, still apply until revisions are finalized and accepted by community vote.

Update 10-16-22

In July 2022 the proposed revisions to Woodland Shores’ covenants and restrictions were voted upon by property owners. The official results regarding what passed, what didn’t, and the resulting changes to the covenants have not been sent in for publication on this website, but l will be most happy to post them as soon as the WSPOA Board provides the relevant details to me for publication.

Update 6-1-22

Well, folks, the ballots for voting in the election deciding the covenants revisions will be arriving in your mailbox any day now. If you’re so excited and just can’t stand the anticipation, take a look below and see what you’re waiting for. These scans are of the final ballot, and should be exact reproductions of the ballot you use for voting. Read your paper ballot carefully before you vote and sign anyway, because that’s just smart.

You will vote on each item separately (it’s a good idea to use your initials instead of a check mark or an X in the “yes” or “no” blanks). At the end of the ballot there is a proxy statement which says that if you mail in your ballot to the community center — or if you leave it in the community center drop box — you are a assigning Mike Bevens as your proxy. “Proxy” in this case means only that he’s in charge of  safeguarding your ballot until the July 9 annual meeting, and then presenting it to the voting committee in your absence. It does not mean that he is deciding your vote for you, only that he is delivering it on your behalf. I’ve written a more complicated, wordy statement on this definition of “proxy” based on questions I had and conversation with Mike Bevens on the issue. That statement, approved by Mike, is posted below the following ballot scans. Please read through it and contact your favorite WSPOA board member if you have any questions.

Ballots that are not returned will be listed as “unreturned” and the lots associated with that ballot will not be counted for, or against, any of the proposed revisions.

What does “Proxy” mean when it comes to the upcoming vote?

Any Woodland Shores property owner(s) of record with the Delaware County tax office who cannot attend the WSPOA 2022 Annual Meeting Covenants Vote in person MAY ASSIGN A PROXY to present their completed, signed, and sealed ballot on that property owner(s) behalf. 
 
In this specific situation, the word “proxy” is being used to describe a REPRESENTATIVE who is AUTHORIZED BY THE VOTER simply to PRESENT their completed, signed, and sealed ballot because that property owner cannot physically attend the meeting. The person acting as proxy does not make the voting decisions. The ballot must be filled out, signed (by the property owner(s) of record with the Delaware County tax office), and sealed prior to being given to the assigned proxy. This proxy option is provided in order to facilitate the counting of votes of those property owners who cannot attend the July 9, 2022 WSPOA Annual Meeting in person and wish to have their votes counted in their absence.
 
In the interest of convenience, Mike Bevens is listed as a proxy option at the end of the Covenants ballot, but property owners are welcome to assign a different proxy of their own choosing by striking out Mike’s name, replacing it with the name of the preferred proxy, and signing on the signature line that is below the proxy statement. If you choose to assign a proxy other than Mike Bevens, please know that the assigned proxy takes full responsibility for transporting your ballot and presenting it at the annual meeting. Ballots mailed to (or dropped into the dropbox at) the Woodland Shores community center will be entrusted to Mike Bevens to safeguard until he delivers them (as default proxy) to the annual meeting. Ballots not presented at the meeting cannot be counted.
 
It’s important to understand that THE PROXY IS NOT DECIDING YOUR VOTE FOR YOU. The person serving as proxy is simply the means by which voter(s) may have their vote presented to the WSPOA Voting Committee without attending the July 9, 2022 WSPOA Annual Meeting in person. 
 
Each lot affiliated with unreturned ballots will be counted as a “no vote”. 
Update 5-12-22

The proposed revisions to our community covenants and restrictions have been approved by the WSPOA attorney as legally sound and are ready to be read and evaluated by property owners in preparation for community vote. See below for a statement from our Covenants Committee chairman Tim Lail, as well as a side-by-side comparison of the covenant changes that are up for vote.

Covenants Committee Chairman Tim Lail says:

The WSPOA Officers and Directors are pleased to present the  updated set of covenants for the approval of Woodland Shores property owners.

The original covenants (which were written in the 1950s) consisted of Ten (10) items. These items have been thoroughly vetted by a local attorney, and six (6) of the items were found to be either outdated, too vague, or too difficult to legally enforce. According to Oklahoma State Statue §11-42-106.1 (items A.2 and D) amending the covenants requires “…approval by the recorded owners of at least sixty percent (60%) of the parcels contained in the addition….”

Woodland Shores property owners will be asked to vote on each revised item individually on a ballot that will be mailed out to the property owners on record with Delaware county. Each ballot will show the property owner’s names, along with the block and lot number of each property owned by that property owner. Ballots should be filled out, signed, sealed, mailed, and received no later than the annual property owners meeting on the morning of July 9, 2022. The mailed-in ballots will be opened and tallied during that meeting, and the results will be posted that day.

WSPOA will mail out the ballots the 1st week of June, coinciding with the publication of a Public Notice in both the Grove newspaper and on the Woodland Shores OK Property Owners Facebook Page.

The WSPOA is releasing these proposed covenant revisions now to allow Woodland Shores property owners plenty of time to review the proposed revisions before ballots are mailed.

Woodland Shores was developed 50+ years ago. Its covenants are considered antiquated by today’s standards, so the WSPOA is working on updating them, subject to attorney advice and community vote.
